Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of ElyteFlow's platform, website, and services (collectively, the “Platform”), operated by ElyteFlow (“we,” “our,” or “us”). By creating an account, starting a free trial, or using the Platform, you agree to be bound by these Terms.
If you are using ElyteFlow on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use the Platform.
2. Description of Service
ElyteFlow is an AI-native point-of-sale and restaurant operating system that provides food and beverage businesses with tools including order management, kitchen display, inventory tracking, customer loyalty, staff scheduling, purchasing management, payment processing, and AI-powered operational intelligence agents.
The Platform is offered on a subscription basis across three tiers: Starter, Professional, and Enterprise. Features available to you depend on your subscription tier.
3. Account Registration and Eligibility
3.1 Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use ElyteFlow. The Platform is intended for business use only — not personal or consumer use.
3.2 Account Creation
You agree to provide accurate, current, and complete information when creating your account and to keep this information updated. You are responsible for maintaining the confidentiality of your login credentials.
3.3 Account Security
You are responsible for all activity that occurs under your account. Notify us immediately at support@elyteflow.com if you suspect unauthorized access to your account.
3.4 One Account Per Business
Each physical business location requires a separate location configuration within the Platform. Multi-location management is available on Professional and Enterprise plans.
4. Free Trial
We offer a 14-day free trial for all subscription tiers. During the trial:
- You have full access to features included in your selected tier
- No payment is required to start the trial
- At the end of the trial period, you must subscribe to a paid plan to continue using the Platform
- If you do not subscribe, your account will enter a read-only state — your data is preserved and accessible if you later choose to subscribe
- Trial periods may not be extended except at ElyteFlow's sole discretion
5. Subscriptions and Billing
5.1 Subscription Plans
ElyteFlow offers the following subscription tiers, billed per location per month or per year:
- Starter: $19/month or $190/year per location
- Professional: $49/month or $470/year per location
- Enterprise: $99/month or $950/year per location
Prices are subject to change with 30 days' notice to existing subscribers.
5.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. Annual subscriptions are paid upfront and are not refundable except as described in Section 5.5.
5.3 Payment Processing
All payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis. You must maintain a valid payment method on file.
5.4 Failed Payments
If a payment fails, we will notify you and attempt to collect payment again. Accounts with outstanding balances may be restricted or suspended after reasonable notice.
5.5 Refunds
We do not offer refunds for partial months or unused portions of annual subscriptions, except:
- Within 7 days of your first paid subscription (new customers only)
- Where required by applicable law
5.6 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period.
5.7 Cancellation
You may cancel your subscription at any time from your billing dashboard. Cancellation takes effect at the end of your current billing period. You will retain access to the Platform until the end of the paid period.
6. Acceptable Use
You agree to use ElyteFlow only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Platform for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to any part of the Platform or its infrastructure
- Reverse engineer, decompile, or attempt to extract the source code of the Platform
- Use the Platform to store, transmit, or process content that is illegal, harmful, or violates third-party rights
- Use automated means to scrape, crawl, or extract data from the Platform without our written consent
- Resell, sublicense, or provide access to the Platform to third parties without our written consent
- Circumvent any security measures or access controls
- Use the Platform in a way that could damage, disable, or impair our infrastructure
7. AI Agent Features
7.1 Nature of AI Outputs
ElyteFlow's AI agents — including but not limited to the Ops Assistant, Anomaly Detector, Demand Forecaster, Waste Reducer, and Shift Briefer — are powered by Anthropic's Claude API. AI-generated insights, recommendations, forecasts, and suggestions are provided for informational purposes only.
7.2 No Guarantee of Accuracy
AI outputs may contain errors, inaccuracies, or omissions. You acknowledge that:
- AI recommendations should not be the sole basis for significant business decisions
- ElyteFlow does not guarantee the accuracy, completeness, or fitness of any AI-generated output
- You are responsible for independently verifying AI-generated insights before acting on them
7.3 Your Responsibility
You retain full responsibility for all business decisions made using or influenced by AI agent outputs. ElyteFlow is not liable for any losses or damages resulting from reliance on AI-generated content.
8. Payment Processing and Stripe Connect
8.1 Stripe Connect
ElyteFlow uses Stripe Connect to facilitate card payment processing for your customers. By enabling card payments, you agree to Stripe's Connected Account Agreement and Terms of Service in addition to these Terms.
8.2 MENA Payment Gateways
For businesses operating in MENA markets, ElyteFlow integrates with third-party payment gateways including Paymob, HyperPay, and Tap Payments. Use of these gateways is subject to their respective terms of service. You are responsible for obtaining any necessary approvals or licenses to accept payments in your jurisdiction.
8.3 Transaction Fees
Payment processing fees charged by Stripe or MENA gateway providers are separate from ElyteFlow's subscription fees and are governed by your agreements with those providers.
9. Data and Privacy
9.1 Your Data
You retain ownership of all data you input into the Platform, including customer records, order history, menu items, and business information (“Your Data”). You grant ElyteFlow a limited license to process Your Data solely to provide the Platform services.
9.2 Data Processing
We process Your Data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
9.3 Data Security
We implement industry-standard security measures to protect Your Data. However, you are responsible for maintaining appropriate access controls within your account, including managing staff permissions and role assignments.
9.4 Data Export
You may export Your Data at any time from within the Platform. Upon account closure, you have 30 days to export your data before it is purged from our systems.
10. Intellectual Property
10.1 Our IP
ElyteFlow and all content, features, functionality, software, and technology comprising the Platform are owned by us and protected by intellectual property laws. Nothing in these Terms grants you any ownership rights in the Platform.
10.2 Your IP
You retain all intellectual property rights in Your Data and any content you upload to the Platform. You grant us a limited, non-exclusive license to use Your Data solely to provide and improve the Platform.
10.3 Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant us an unrestricted, royalty-free right to use that feedback for any purpose without compensation to you.
11. Service Availability and Modifications
11.1 Uptime
We aim to provide a reliable, high-availability service. However, we do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance where possible.
11.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time. For material changes to paid features, we will provide at least 30 days' notice.
11.3 Offline Mode
The Platform includes limited offline functionality. We are not responsible for data loss or inconsistencies resulting from extended offline use.
12. Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Platform will be error-free, uninterrupted, or free of harmful components.
13. Limitation of Liability
To the maximum extent permitted by applicable law, ElyteFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Platform.
Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to us in the three months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless ElyteFlow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Platform in violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party rights
- Any data you input into the Platform
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the applicable jurisdiction. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of the applicable jurisdiction.
For users in the EU, mandatory consumer protection laws of your country of residence apply and are not affected by this clause.
16. Termination
16.1 By You
You may terminate your account at any time by cancelling your subscription and contacting support@elyteflow.com to request account deletion.
16.2 By Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay subscription fees after reasonable notice
- Pose a security risk to the Platform or other users
16.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. We will retain your data for 30 days following termination to allow for export, after which it will be permanently deleted.
17. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Platform at least 14 days before changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
